01 Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and TenderGuru OÜ / MakeIT SRL (collectively "TenderGuru," "we," "us," or "our") governing your access to and use of the TenderGuru platform available at tenderguru.io ("Platform").
By creating an account, purchasing a subscription, or otherwise accessing the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
02 Definitions
- Platform — the TenderGuru web application, APIs, and associated services at tenderguru.io.
- Services — tender monitoring, AI scoring, document generation, expert matching, and all other features offered through the Platform.
- Subscription Plan — the selected paid tier (Monitor, Analyst, Team) or a custom Enterprise agreement.
- User Content — CVs, project descriptions, company profiles, documents, and other materials you upload to the Platform.
- AI-Generated Content — text, documents, or outputs produced by the Platform's artificial intelligence components, including CV packages, methodology drafts, and scoring explanations.
- BYOK — "Bring Your Own Key": a configuration mode where the User supplies their own Anthropic API key. In BYOK mode, User Content is transmitted directly to Anthropic under the User's own account and API terms.
- TG Key — the default configuration where TenderGuru provides the AI processing capacity via its own API key; usage is billed through TG Coins.
- TG Coins — the prepaid credit unit used to measure and bill AI operations on the Platform (not applicable in BYOK mode).
- ToR — Terms of Reference: the specification document issued by a development finance institution or contracting authority describing the scope of a consultancy tender.
03 Description of Services
TenderGuru provides a SaaS platform to help consultants and consulting firms find, evaluate, and prepare applications for international tenders — primarily those issued by development finance institutions (DFIs) such as EBRD, ADB, World Bank, KfW, GIZ, EU, and others.
Core features include:
- Tender Monitoring — aggregated search across 30+ procurement platforms with profile-matched alerts.
- AI Scoring — evaluation of your match against a tender's ToR requirements, expressed as a percentage, with specific improvement recommendations.
- Document Generation — AI-assisted drafting of CVs, methodologies, Letters of Intent (LOI), ESPD, and related bid documents in donor-required formats (EBRD, ADB, World Bank, Europass, etc.).
- Expert Matching — automated selection of best-fit consultants from your uploaded expert database against ToR requirements.
- Team Workflows — collaborative document editing, approval chains, role management, and version control.
Feature availability varies by Subscription Plan. TenderGuru reserves the right to add, modify, or discontinue features with reasonable notice to active subscribers.
04 Account Registration
To access the Platform you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your credentials;
- All activity that occurs under your account;
- Promptly notifying us at support@tenderguru.io of any suspected unauthorised access.
You must be at least 18 years of age and have the legal capacity to enter into these Terms. Corporate accounts must be registered by an authorised representative.
We reserve the right to refuse registration or suspend accounts that violate these Terms, provide false information, or engage in fraudulent activity.
05 Subscriptions & Payment
5.1 Subscription Plans

Monitor, Analyst, and Team pricing will be published when paid billing launches; account access can currently be arranged manually — see Pricing.
5.2 Payment Terms
Subscription fees are billed in advance on a monthly or annual basis. All prices are exclusive of applicable taxes (VAT, GST, etc.) which may be added based on your billing address.
Payment is processed via our authorised payment providers. TenderGuru does not store full credit card details.
Invoices not paid within 14 days of due date may accrue interest at 8% per annum. TenderGuru reserves the right to suspend access for overdue accounts.
5.3 TG Coins (Credit System)
In TG Key mode, AI operations are billed in TG Coins. Unused Coins expire 12 months from purchase. Coins are non-transferable and non-refundable except as required by applicable law.
5.4 Cancellation & Refunds
Monthly subscriptions may be cancelled at any time; cancellation takes effect at the end of the current billing period. Annual subscriptions are non-refundable except in cases of material Platform failure attributable to TenderGuru.
5.5 Auto-Renewal
Subscriptions renew automatically unless cancelled at least 60 days before the renewal date (annual plans) or before the end of the current billing month (monthly plans).
06 Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:
- Use the Platform to submit fraudulent, misleading, or fabricated information to tendering authorities;
- Use automated scripts, bots, or crawlers to access the Platform beyond the API access included in your plan;
- Attempt to reverse-engineer, decompile, or extract the Platform's source code or AI models;
- Share account credentials with users beyond your authorised seat count;
- Resell, sublicense, or white-label the Platform's outputs without a separate commercial agreement;
- Upload content that infringes third-party intellectual property rights, contains malware, or violates applicable law;
- Use the Platform to process the personal data of individuals without a lawful basis under applicable data protection law;
- Interfere with the security or integrity of the Platform or its infrastructure.
Violation of acceptable use policies may result in immediate account suspension without refund.
07 AI-Generated Content
You acknowledge and agree that:
- AI drafts are clearly marked within the Platform. All AI-Generated Content is labelled as machine-generated to maintain transparency.
- Human approval is required. The Platform's workflow requires an authorised user to approve documents before they are finalised. TenderGuru does not submit documents to tendering authorities on your behalf.
- No guarantee of accuracy. AI-Generated Content may contain errors, omissions, or information inconsistent with the ToR. You are solely responsible for reviewing all generated content for accuracy, compliance with donor requirements, and factual correctness before submission.
- No guarantee of tender success. TenderGuru's AI scoring and document generation tools are provided as decision-support aids. They do not guarantee any particular result in a tender evaluation process.
- Compliance responsibility. You remain solely responsible for ensuring that all submitted bid documents comply with the applicable procurement rules, anti-corruption policies, and legal requirements of the contracting authority and your jurisdiction.
08 Your Data & Intellectual Property
You retain full ownership of all User Content you upload to the Platform (CVs, project descriptions, company profiles, documents, and related materials).
By uploading User Content, you grant TenderGuru a limited, non-exclusive, royalty-free licence to process, store, and use your User Content solely for the purpose of providing the Services to you. We do not use your User Content to train our AI models or to provide services to other users without your explicit consent.
BYOK mode: If you use your own Anthropic API key, your User Content is transmitted to Anthropic's API under your account. TenderGuru does not retain copies of AI processing inputs or outputs in BYOK mode beyond what is needed for session display. Your relationship with Anthropic is governed by Anthropic's own terms of service.
TG Key mode: Your User Content is processed via TenderGuru's Anthropic API key. Content is not used for AI training. Retention and deletion terms are detailed in our Privacy Policy.
Feedback: If you voluntarily provide feedback or suggestions about the Platform, you grant TenderGuru a perpetual, royalty-free licence to use such feedback for product improvement purposes.
09 TenderGuru Intellectual Property
The Platform, its design, software, algorithms, scoring models, and all content created by TenderGuru (excluding User Content and AI-Generated Content based on your inputs) are the proprietary intellectual property of TenderGuru and its licensors, protected by copyright, trade secret, and other applicable laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform in accordance with your Subscription Plan and these Terms. No other licence is granted, express or implied.
10 Third-Party Tender Sources
The Platform aggregates publicly available tender information from third-party procurement platforms (including EBRD, TED, ADB, World Bank, GIZ, UNGM, and others). This information is provided for reference purposes only.
TenderGuru does not guarantee the completeness, accuracy, or timeliness of third-party tender data. Tender deadlines, requirements, and other details should always be verified directly with the issuing authority.
Your use of information sourced from third-party platforms may be subject to those platforms' own terms of service. TenderGuru is not responsible for the availability or content of third-party platforms.
11 Disclaimer of Warranties
The Platform and Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, TenderGuru expressly disclaims all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
TenderGuru does not warrant that: (a) the Platform will be uninterrupted, timely, secure, or error-free; (b) the results obtained from using the Platform will be accurate or reliable; (c) any AI-Generated Content will be suitable for submission to any tendering authority; or (d) defects will be corrected.
12 Limitation of Liability
To the maximum extent permitted by applicable law, TenderGuru's aggregate liability for all claims arising out of or relating to these Terms or the Platform shall not exceed the greater of: (a) the total fees paid by you to TenderGuru in the 12 months preceding the claim; or (b) €500.
In no event shall TenderGuru be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of tender opportunities, reputational damage, or business interruption, even if TenderGuru has been advised of the possibility of such damages.
13 Termination
Either party may terminate the agreement at any time in accordance with Section 5.4 (Cancellation). TenderGuru may suspend or terminate your account immediately and without notice if you materially breach these Terms, including violations of Section 6 (Acceptable Use).
Upon termination: (a) your access to the Platform ceases; (b) you may export your User Content within 30 days of termination; (c) TenderGuru will delete your User Content within 90 days of account closure, subject to legal retention obligations. Provisions that by their nature should survive termination (including Sections 7, 8, 9, 11, 12, 15) shall survive.
14 Changes to These Terms
TenderGuru may update these Terms from time to time. Material changes will be notified by email at least 30 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you may cancel your subscription before the effective date.
15 Governing Law & Disputes
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties for a period of 30 days. If unresolved, disputes shall be finally settled by binding arbitration under the ICC Rules of Arbitration, with the seat of arbitration in Geneva, Switzerland, conducted in English. The arbitral award shall be final and binding.
Nothing in this clause prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction.
Consumer users in the European Economic Area may benefit from applicable mandatory consumer protection rights under the law of their country of residence, which these Terms do not seek to exclude.
